Terms of Service

These terms set out the working agreement between Harris Vision and our clients. They cover dashboard licensing, data responsibilities, payment, service delivery, and how we handle issues when they arise. Want the short version? What these terms actually cover

We’ve kept the language direct because nobody wants legal fog. The terms below explain what we deliver, what you provide, and how both sides keep the project moving. Why make it complicated?

Plain-English summary

The agreement applies to AI-powered dashboards, data integrations, hosting, support, and the service standards attached to each engagement. If we issue a project-specific statement of work, that document may amend these terms for that project. That’s the normal setup for enterprise software services, and it gives everyone a cleaner line of sight.

Effective date

These terms take effect from the date shown in your proposal or order form. Which version applies? The latest one tied to your signed agreement.

Scope

Dashboard licensing, implementation, support, training, and service levels are all included when referenced in the signed scope. Nothing implied, nothing hidden.

Your data stays yours

Client data remains client property. We process it only to deliver the service, improve performance, and meet contractual obligations. Simple, and deliberately so.

Negotiated terms win

If a bespoke agreement says something different, that negotiated clause takes priority. Why not keep the hierarchy clear from day one?

Complete terms

This is the full service agreement for our AI dashboard work. It’s written to be readable by procurement teams, founders, and legal counsel alike. No waffle. Just the essentials, with enough precision to reduce friction.

1. Definitions and licence grant

“Services” means the design, development, deployment, and support of AI-powered dashboards. “Client materials” means the data, brand assets, systems access, and instructions you supply. We grant you a non-exclusive, non-transferable licence to use the dashboards for your internal business purposes during the term, provided your account is in good standing.

The licence does not include resale rights, source-code ownership, or permission to copy our methods outside the agreed project. Need a broader licence? Ask for it in writing.

2. Client obligations and data integration

You’ll give us accurate data, timely access, and named contacts who can approve implementation decisions. If your source systems are incomplete or poorly maintained, the dashboard can only be as reliable as the inputs. Fair enough?

  • Provide lawful access to source systems and APIs.
  • Keep credentials secure and up to date.
  • Review outputs and tell us about errors promptly.
  • Ensure your use complies with UK GDPR and internal policy.

3. Fees and payment

Fees are set out in the proposal or order form. Unless agreed otherwise, invoices are payable within 14 days of issue. Late payment may pause delivery until the account is brought current.

4. Intellectual property

We retain ownership of our pre-existing tools, templates, and delivery methods. You retain ownership of your data and your own brand assets. Deliverables created specifically for your project are licensed or assigned as stated in the signed scope.

5. Confidentiality

Both parties must protect confidential information and use it only for the project. We expect the same standard of care from your side that you’d expect from us. Is that really too much to ask?

6. Limitation of liability

Our liability is limited to the amounts paid for the relevant services, except where the law says otherwise. We’re not responsible for losses caused by inaccurate data, unauthorised access on your side, third-party outages, or decisions made solely on the basis of dashboard outputs without human review.

7. Termination and governing law

Either party may terminate for material breach if the breach isn’t remedied within a reasonable period after notice. On termination, access may be suspended, and outstanding fees remain payable. These terms are governed by the laws of England and Wales, with disputes handled by the courts of England and Wales, unless we both agree to mediation first.

Standard cloud uptime target of 99.9%, measured monthly against the production environment.

Support

Regular backup cycles are included for hosted environments, with recovery steps defined in your delivery plan.
